Welcome to The Rock and Roll Hall of Fame and Museum, Inc. (“Museum,” "we," or "us") web site (“Site”).  Your use of the Site is governed by and subject to these Terms of Use (“Terms” or “Terms of Use”), our Privacy Policy, and all applicable laws and regulations.

PLEASE READ THESE TERMS CAREFULLY AS THEY IMPACT YOUR RIGHTS AND LIABILITIES, AND THROUGH THESE TERMS YOU SPECIFICALLY WAIVE YOUR ABILITY TO BRING CERTAIN CLAIMS AGAINST THE MUSEUM, ALLOW FOR THE MUSEUM TO ENGAGE IN ARBITRATION TO SETTLE CERTAIN DISPUTES AND ADDRESS CIRCUMSTANCES IN WHICH YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

BY USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND OUR PRIVACY POLICY, WHICH IS HEREBY INCORPORATED BY REFERENCE INTO THESE TERMS OF USE. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OF USE OR OUR PRIVACY POLICY, PLEASE DO NOT USE THIS SITE.

The Museum reserves the right to update or change these Terms of Use at any time and for any reason, without notice.  By continuing to use the Site, you agree to be bound by any such revisions and should therefore periodically visit and print the latest version for your records.  All such changes are hereby incorporated by reference into these Terms of Use.  For your information, the date of the last update to these Terms of Use is posted at the top of this page.  When using or accessing certain features of the Site (including, without limitation, the Press Room), you may be subject to additional terms and conditions applicable to such features, which will be posted or otherwise made available to you.  All such additional terms and conditions are hereby incorporated by reference into these Terms of Use.

1. AGREEMENT TO CONTRACT ELECTRONICALLY

You agree that this electronic Terms of Use agreement, combined with your accessing and using this Site or clicking on “I Agree,” have the same legal force and effect as a written contract with your written signature and satisfy any laws that require a writing or signature, including any applicable Statute of Frauds.  You shall not challenge the validity, enforceability, or admissibility of the Terms of Use on the grounds that it was electronically transmitted or authorized.  In addition, you acknowledge that you have had the opportunity to print this Terms of Use agreement.  You warrant, as a condition of the use of the Site, that you will not use the Site for any purpose that is unlawful, infringes on the rights of others, or is prohibited by these Terms of Use. 

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.  In any case, you affirm that you are over the age of 16, as the Site is not intended for children under 16.  If you are under 16 years of age, then please do not use the Site. 

2. MODIFICATIONS

We may discontinue, add to, modify, upgrade, or replace any and all aspects of the Site in our sole discretion and without notice.  In particular, we reserve the right in our sole discretion to modify, supplement, delete, discontinue, or remove any software, file, publications, information, communication, or other content appearing on or transmitted through the Site.

3. MONITORING

The Museum has no obligation to monitor this Site or any use thereof or to retain the content of any user session.  The Museum reserves the right at all times to monitor, review, retain, and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request or to cooperate with law enforcement and other authorities in investigating a claim of illegal activity.

4. CONTENT

Ownership: The Museum, the Rock and Roll Hall of Fame Foundation, Inc. and/or the Museum’s third-party content providers own all right, title, and interest in and to the Site and the content on the Site, except User Submissions (as defined below), including, but not limited to, text, information, data, artwork, video, audio, images, graphics, icons, and software (collectively, “Content”) and the trademarks, service marks, logos, domain names, copyrights and other proprietary materials contained therein. 

Third-Party Links and Materials: This Site may contain links to third-party web sites, and other web sites and resources may provide links to this Site (such web sites collectively, “Third Party Sites”).  We do not endorse the content on Third Party Sites.  The links are provided for your convenience only.  We have no control over the content on Third Party Sites; therefore, we are not responsible or liable for the availability of, or any content, advertising or products on or available from such Third Party Sites.  You agree that the Museum is not responsible or liable, either directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third Party Site.  You acknowledge that it may be necessary or appropriate to use the services, software, technology, data, and/or other content of third parties (collectively, “Third Party Materials”) either independently or in conjunction with certain features available through the Site.  Such Third Party Materials may be downloaded to and/or stored on your computer or otherwise employed in conjunction with certain aspects of the Site without notice.  Your use of Third Party Materials may be subject to terms established by third-party providers, which may be different from these Terms of Use.  Further, Third Party Materials may be sourced either through the Site or through a third-party website.  You agree that the Museum assumes no liability with respect to your use of such Third-Party Materials. 

Permitted Use of Site and Content: You may view, listen to or print Content for non-commercial personal purposes or for educational purposes, such as teaching, research, criticism, or commentary.  Under no circumstances may you reproduce the Site in its entirety, or substantially in its entirety.  Any use of Content must be accompanied by a citation to the author and source of the information, including the URL “
http://www.rockhall.com” and any copyright and trademark notices originally included with the Content.  You may not alter or modify the Content or use the Content for any other purpose.  You acknowledge that the Museum and/or third-party content providers remain the owners of the Site and the Content, that you do not acquire any ownership rights by downloading Content, and that you are bound by any additional agreements applicable to specific Content.  The foregoing sets forth your entire right to copy and use Content found on the Site.  Any other use requires the prior written consent of the Museum, which may be granted or denied in the Museum’s sole discretion, as well as that of any other owner(s) of the Content. 

5. USER SUBMISSIONS

For content of any type, including, but not limited to, graphics, images, messages, creative ideas, concepts, know-how, techniques, and suggestions, that you post, submit, transmit or upload to the Site, whether solicited by the Museum or not (“User Submissions”), you hereby grant the Museum a royalty-free, perpetual, irrevocable, worldwide, sub-licensable, non-exclusive, and unrestricted right and license to use, reproduce, copy, create derivative works from, modify, publish, edit, translate, distribute, transmit, perform, and display such content in any media or medium or any form, format, or forum now known or hereafter developed without any additional consent from you, in consideration of your use of the Site, and no payment will be due to you at any time.  Further, you agree that you will not upload or transmit any User Submissions that infringe or violate any rights of any party.  If you make any such User Submission, you automatically grant, or warrant that the owner of such content has expressly granted, the Museum a royalty-free, perpetual, irrevocable, worldwide, sub-licensable right and license to use, reproduce, copy, create derivative works from, modify, publish, edit, translate, distribute, transmit, perform, and display the communication or content in any media or medium or any form, format, or forum now known or hereafter developed.  You also hereby grant each user of the Site a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, display, and perform such User Submissions as permitted through the functionality of the Site and under these Terms of Use.  The Museum has the right, but not the obligation, to use your name or username in connection with the broadcast, publication, distribution, or any other use of your User Submission.  You agree that User Submissions and your username are not confidential, and may be read, accessible to, and intercepted by others on the World Wide Web, and that you have no expectation of privacy in such User Submissions. 

The Museum has the right, but not the obligation, in its sole discretion and for any reason, to delete, edit, or review any User Submission and/or deny access to the User Submission features of the Site.  The Museum is under no obligation to monitor or review User Submissions, although it may do so from time to time.  Display of any User Submissions, or any opinion, recommendation, or advice expressed therein on the Site does not constitute approval or endorsement by the Museum, and the Museum disclaims any and all liability or responsibility in connection with any User Submission, including those that contain defamatory or offensive content, errors, inaccuracies, pornography, or profanity.  You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. 

You agree that no confidential or fiduciary relationship between you and the Museum is created based upon either the submission of User Submissions to the Site or these Terms of Use, and that the Museum may retain and disclose User Submissions and/or personal information of the posting user if required to do so by law or in the good faith belief that such retention or disclosure is reasonably necessary to:  (A) comply with legal process; (B) enforce these Terms of Use; (C) respond to claims that the rights of third parties are violated by any User Submissions; or (D) protect the rights, property, or personal safety of the Museum, users of the Site, and the public.  You acknowledge that the technical processing and transmission of the Site and the User Submissions may involve transmissions over various networks or devices, which may require modifications in order to conform to such networks’ and devices’ technical requirements.

6. USER CONDUCT

You agree that in connection with your use of the Site you will not: 

A. e-mail, link, post, upload, or otherwise transmit 

any content that is abusive, defamatory, fraudulent, harassing, harmful, hateful, invasive of anyone’s privacy, libelous, obscene, offensive, pornographic, profane, threatening, tortious, unlawful, vulgar, or racially, ethnically or otherwise objectionable, or that discloses personal or private matters concerning any person; 

any content that constitutes or encourages criminal conduct or results in civil liability, or otherwise violates any local, state, national, or international law; 

any content that you do not have a right to transmit under any law or under a contractual or fiduciary relationship; 

any content that infringes any patent, copyright, trademark, trade secret, or other intellectual property right, or privacy or publicity right, of any party; 

any advertisements, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes” or other forms of solicitation; 

any material that contains software viruses, worms, “Trojan Horses,” or any other computer code, files, or programs designed to destroy, interfere, or restrict the functionality of any computer software or hardware or telecommunications equipment; 

any content that constitutes or includes false or misleading indications of origin or statements of fact; or 

any content that is irrelevant to the subject matter of the Site; 

B. collect, compile, delete, display, gather, harvest, obtain, reproduce, 
revise, or transmit any material or information, whether personally identifiable or not, posted by or concerning any other person or entity, arising from their or your use of the Site, unless you have obtained the prior express permission of such other person or entity to do so; provided, that your posting of material and/or information on a Site that any other person or entity previously posted on such Site shall not (without more) constitute a violation of this Section 6.B; 

C. engage in any activity that adversely affects or reflects negatively on the Museum, the Site, the Museum’s goodwill, name, or reputation; causes duress, distress, or discomfort to the Museum or anyone else, including but not limited to “stalking” or otherwise harassing any person; or discourages any person or entity from using or accessing the Site; 

D. link to the Site using a “frame” containing any sponsorship, advertisements, or other commercial text or graphics; 

E. impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; 

F. interfere with or disrupt the Site or servers or networks connected to the Site, or fail to comply with any requirements, procedures, policies, or regulations of networks connected to the Site; 

G. violate or attempt to violate the security of the Site, including but not limited to violations by: 

accessing data or logging into a server or account for which you are not authorized to access or log into; 

probing, scanning, or testing, or attempting to probe, scan, or test, the vulnerability of a system or network or to breach security or authentication measures without proper authorization; 

interfering or attempting to interfere with service to any user, host, or network, including, but not limited to, submitting a virus to, or overloading, “crashing,” “flooding,” or “mailbombing” the Site; or 

forging any TCP/IP packet header or any part of the header information in any e-mail or posting; or 

H. violate, or encourage the violation of, any applicable local, state, national, or international law. 
Any violations by you of this Section 6 may result in civil or criminal liability. The Museum shall, at its sole discretion, determine what conduct constitutes a violation of this Section 6 and whether to take any action or no action in response to a violation of this Section 6.  No third party is an intended beneficiary of these Terms of Use.  

7. ONLINE STORES

You may purchase merchandise, Museum memberships and/or make charitable donations to the Museum from the online store located at https://shop.rockhall.com/ and from the Museum’s Shopify Store also found on social media channels and located at rock-hall-shop.shopify.com (collectively, the “Store”).  You agree to any additional rules, procedures, or terms applicable to such purchases and/or use of the Store.  The fulfillment of membership orders, and shipping and billing of merchandise and membership kits for memberships ordered through the Store are solely the responsibility of our third-party providers.  Your transactions with sponsors and business partners found on or through the Site, including payment and delivery of related goods or services, and any other terms, warranties, or representations associated with such transactions, are solely between you and such sponsor and/or business partner.  You agree that the Museum will not be liable for any loss or damage of any sort incurred as the result of any transactions with third-party sponsors and business partners appearing on the Site, and all such transactions shall be at your sole risk.

You may register for an account to sign in to look at previous orders or to view your account by establishing a username and password.  You may not choose or use the username of another person with the intent to impersonate that person or allow a third party to use or access your account using your username and password.  If you know or suspect any unauthorized use or breach of your account, including loss, theft, or unauthorized disclosure of your password or credit card information, you must promptly notify the Museum at [email protected]. If your password is lost, stolen, or disclosed without your authorization, you must promptly change your password.  You can do so by going to the Log In page at https://shop.rockhall.com/account/login.  You are responsible for maintaining the confidentiality of your password.  You are responsible for any and all usage or activity on your account, which expressly includes any purchases made or other charges incurred on your credit card related to your use (or a third party’s use) of your account.  You may cancel your account by contacting the Museum at [email protected] and indicating in the e-mail that you would like to cancel your account.  Note, that any such cancellation will not cancel previously submitted orders.

The Museum and its billing, service, and any fulfillment partners may provide you with products and/or services and you agree to pay all charges incurred for such products and/or services, including without limitation any applicable taxes and shipping, handling and processing charges and, further including, any customs fees, taxes, duties, tariffs or similar charges. You acknowledge and agree that your credit card will be charged with making a purchase for any such products and/or services, credit card orders shipped to a location other than your billing address may require additional verification. Some transactions may only take place in U.S. dollars.

You are permitted to purchase products and/or services only for personal use and not for resale. We may in our discretion refuse and/or cancel any order that we believe may lead to the resale of products and/or services ordered from us. We make no promise that products and/or services described are appropriate or available for use outside of the United States. Accessing this Site from territories where its contents are unlawful is prohibited. It is your responsibility to ascertain and obey all applicable laws and regulations with respect to the purchase, possession and use of any such product and/service. We reserve the right to refuse to process or complete any transaction, and to cancel any transaction, in our sole discretion.

The Site may use third parties to process payments. Our third-party payment processors may accept payments through various credit cards, including, but not limited to: Visa, MasterCard, American Express and Discover, ShopPay, ApplePay and Paypal, as detailed on the applicable payment screen.

From time to time in our sole discretion, we may offer “discount codes,” “promotional codes,” “promo codes,” or “offer codes” through a variety of promotional activities and communications (collectively referred to herein as “offer codes”) that are redeemable towards a purchase on the Site. Such offer codes may be subject to certain exclusions or other restrictions as determined and communicated by us. Only valid offer codes provided or promoted by Museum will be honored at checkout and any codes supplied or promoted by third-parties unauthorized by us will be invalid. Some offer codes provided by us may be non-transferable and are valid for single use on an item (or items) of merchandise as determined by us. The terms of certain offer codes may allow them to be combined, otherwise customers are limited to the use of a single offer code per order. For online purchases, the code must be entered prior to checkout. We are not responsible for lost, stolen or corrupted codes or any unauthorized use of codes. Offer codes cannot be redeemed for cash or any cash equivalent; no substitutions or credits allowed. The dollar value of any offer code will not be refunded or credited back if any or all of the merchandise is refunded. Expiry dates may apply to each offer code. Offer codes are void if copied, transferred, sold, exchanged or expired, and where prohibited. Requests not complying with all offer code requirements will not be honored.

THESE PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.  THE MUSEUM AND ITS BILLING, SERVICE, AND FULFILLMENT PARTNERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE AND NON-INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PRODUCTS AND SERVICES PROVIDED TO YOU AS A RESULT OF YOUR PURCHASES THROUGH THE SITE OR THE STORES.  THE MUSEUM ASSUMES NO RESPONSIBILITY ARISING FROM YOUR USE OF THESE PRODUCTS AND SERVICES.

8. PRIVACY; RELEASE OF LIABILITY

Certain features available on the Site may ask you to register or provide personal information, such as your name, address, phone number, and e-mail address.  You agree to provide the Museum only true, accurate, current, and complete information about yourself.  We may also automatically collect personal information from you through the use of cookies, pixels, and tags. Please see our Privacy Policy and Cookie Policy for more information on how we collect, use, disclose, or otherwise process personal information.

RELEASE OF LIABILITY. Our Privacy Policy and Cookie Policy describe the types of personal information that we collect from you when you use our Site and in other circumstances, including personal identifiers (e.g., name, address, telephone number), online identifiers (e.g., IP address, device identifier), information related to your social media account, and data with respect to how you use our Site, such as information concerning the webpages you visit and the videos you access. Our Privacy Policy and Cookie Policy each further describe how we use and disclose this information to third parties. In certain circumstances, applicable law may require us to obtain your consent prior to collecting, using, or disclosing such personal information, and you may be entitled to damages or other legal recourse when such consent is not properly obtained. By agreeing to these Terms, you (I) acknowledge and understand that the Museum collects, uses, discloses, and otherwise processes your personal information IN ACCORDANCE WITH OUR PRIVACY POLICY AND COOKIE POLICY, and WE MAY HAVE previously collected, used, disclosed, and otherwise processed your personal information WHEN YOU HAVE PREVIOUSLY ACCESSED OUR SITE OR YOU FURNISHED US WITH, OR WE OTHERWISE COLLECTED, YOUR PERSONAL INFORMATION, (II) HEREBY consent to all CURRENT and PAST collection, use, disclosure, AND processing of YOUR personal information BY THE MUSEUM, AND (iiI) specifically release, HOLD HARMLESS, and forever DISCHARGE THE MUSEUM, and our EMPLOYEES, AFFILIATES, SUBSIDIARIES, TRUSTEES, AGENTS, AND SERVICE PROVIDERS FROM all legal liability RELATED TO THE PAST OR CURRENT COLLECTIon, use, disclosure, or processing of your personal information, INCLUDING From and against all past, present, and future claims, demands, right of action, or causes of action of whatever nature (whether known or unknown). For the avoidance of doubt, YOU WILL NOT HOLD, NOR SEEK TO HOLD, THE Museum OR OUR EMPLOYEES, AFFILIATES, SUBSIDIARIES, AGENTS, TRUSTEES, OR SERVICE PROVIDERS, LIABLE OR RESPONSIBLE FOR ANY HARM, LOSS, OR DAMAGES AFFECTING YOU OR ANY THIRD-PARTY IN CONNECTION WITH THE Video PRIVACY Protection Act (codified, as amended, at 18 U.S. Code § 2710) OR OTHERWISE IN CONJUNCTION WITH YOU REQUESTING ACCESS TO, AND/OR ACCESSING, VIDEOS ON OUR SITE.

9. DIGITAL MILLENNIUM COPYRIGHT ACT

If you believe that any content on this Site infringes your copyright, you should notify the Museum of your copyright infringement claim in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws.  Submission of a copyright infringement claim under the DMCA must be in writing and contain the following information: 

a physical or electronic signature of a person authorized to act on behalf of the owner of a copyright interest that is allegedly infringed; 

identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are claimed to have been infringed, a representative list of such works; 

identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the Museum to locate the material; 
information reasonably sufficient to permit the Museum to contact you, such as an address, telephone number, and, if available, an e-mail address; 

a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and 

a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

You acknowledge that if you fail to comply with all of the above requirements of this section, your DMCA notice may not be valid. 

Counter-Notice:  If you believe that the content that was removed or to which access has been disabled is not infringing, or if you believe that you have the right to use such content from the copyright owner, the copyright’s agent, or pursuant to law, then you may send a counter-notice to the Designated Agent with the following information: 

your physical or electronic signature; 

identification of the content that has been removed or to which access has been disabled, and information reasonably sufficient to permit the Museum to locate the material; 

information reasonably sufficient to permit the Museum to contact you, such as an address, telephone number, and, if available, an e-mail address; 

a statement that, under penalty of perjury, you have a good faith belief that content was removed or access disabled as a result of a mistake or a misidentification of the content;
 and 

a statement that you consent to the jurisdiction of the Federal Court for the judicial district in which your address is located, or if your address is located outside the United States, for the Northern District of Ohio, and that you will accept service of process from the complaining party who provided notification of the alleged infringement. 

If a counter-notice complying with the requirements of the DMCA is received by the Designated Agent, the Museum shall send a copy to the original complaining party to inform the complaining party that the Museum shall replace the removed content or restore access to it after 10 business days, unless the complaining party files an action seeking a court order against you. 

The Museum will bar a user from posting content on the Site if, under appropriate circumstances, a user-determined to be a repeat infringer.

10. NO WARRANTY


THIS SITE AND ALL CONTENT, USER SUBMISSIONS, AND THIRD-PARTY MATERIALS ARE PROVIDED “AS IS” WITHOUT A WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, UNINTERRUPTED ACCESS, NONOFFENSIVE CONTENT, AND/OR NONINFRINGEMENT.  WHILE THE MUSEUM USES REASONABLE EFFORTS TO INCLUDE ACCURATE AND UP-TO-DATE INFORMATION IN THIS SITE, IT MAKES NO REPRESENTATIONS OR WARRANTIES AS TO TRUTH, ACCURACY, OR COMPLETENESS AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE SITE, CONTENT, USER SUBMISSIONS, OR THIRD-PARTY MATERIALS.  THE MUSEUM ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR USE OF, OR DOWNLOADING OF ANY CONTENT, USER SUBMISSIONS, OR THIRD-PARTY MATERIALS FROM THE SITE.  YOU (AND NOT THE MUSEUM) ASSUME THE ENTIRE COST OF ANY NECESSARY SERVICING, REPAIR OR CORRECTION; ACTIONS TAKEN OR NOT TAKEN ARE YOUR SOLE RESPONSIBILITY. 

11. LIMITATION OF LIABILITY


YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE MUSEUM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF THE MUSEUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), IN CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER CAUSE OF ACTION, ARISING FROM: (A) THE USE OR THE INABILITY TO USE THE SITE, CONTENT, USER SUBMISSIONS, OR THIRD PARTY MATERIALS; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR TRANSMISSIONS RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE SITE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS POSTED BY, OR THE CONDUCT OF, ANY THIRD PARTY ON THE SITE; OR (E) ANY OTHER MATTER RELATING TO THE SITE, CONTENT, USER SUBMISSIONS, OR THIRD PARTY MATERIALS.  THIS LIMITATION OF LIABILITY APPLIES, WITHOUT LIMITATION, TO ANY DAMAGES OR INJURY CAUSED BY ANY ERROR, OMISSION, OR OTHER FAILURE OF PERFORMANCE BY THE MUSEUM, ITS AFFILIATES AND BUSINESS PARTNERS; ANY INTERRUPTION, DEFECT, OR DELAY IN OPERATION OR TRANSMISSION, INCLUDING COMMUNICATION LINE FAILURE; ANY COMPUTER VIRUS; AND ANY THEFT, DESTRUCTION, OR ALTERATION OF, OR UNAUTHORIZED ACCESS TO OR USE OF, ANY ELECTRONIC RECORDS. 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.  ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 10 AND 11 MAY NOT APPLY TO YOU.  IN SUCH JURISDICTIONS, THE LIABILITY OF THE MUSEUM SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.  NOTWITHSTANDING THE TERMS OF THIS SECTION 11, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE MUSEUM TO YOU EXCEED THE AMOUNTS PAID BY YOU (IF ANY) FOR THE SERVICES GIVING RISE TO SUCH LIABILITY.

12 GENERAL PROVISIONS

Export Laws.  Software available in connection with the Site may be subject to United States export controls.  Software from the Site may not be downloaded or exported (A) into (or to a national resident of) any country to which the U.S. has embargoed goods; (B) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders; or (C) in violation of any other U.S. export law.  Downloading or using the Software is at your sole risk. 

Reservation of Rights. The Museum reserves the right to make any changes to the Site in its sole discretion without notice to users.  The Museum reserves the right to deny or block access to the Site to anyone at any time and to terminate this agreement at any time without notice, in its sole discretion. 

Entire Agreement. These Terms of Use and the Privacy Policy constitute the entire agreement between you and the Museum and govern your use of the Site, superseding any prior agreements between you and the Museum.  When you use affiliate services or any third-party content, you may be subject to additional terms.  The failure of the Museum to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.  If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties agree that the court should nevertheless give effect to the parties’ intentions as reflected in such provision; all other provisions shall remain in full force and effect.  You agree that any claim or cause of action arising out of or related to use of or access to the Site or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred, notwithstanding any contrary statute or law. 

Assignment. These Terms of Use and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by the Museum without restriction. 

Indemnification. You agree to defend, indemnify, and hold the Museum and its affiliates, employees, contractors, directors, officers, trustees, agents, representatives, and other third parties assisting in the operation of the Site harmless from all claims, liabilities, and expenses (including attorneys’ fees) that may arise from (A) User Submissions you post, submit, or transmit through the Site (including any links to other websites or resources contained in such User Submissions); (B) your use of or access to the Site or User Submissions; (C) your participation in any activities arising from the Site or User Submissions; (D) your connection to the Site or User Submissions; (E) your breach of this Terms of Use Agreement; and/or (F) your violation of any rights of a third party.  The Museum reserves the right (but not the obligation), at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Museum, and you agree to cooperate with the Museum’s defense of these claims. 

CONFLICT RESOLUTION.
  These Terms of Use and the relationship between you and us will be governed by the laws of the State of Ohio without regard to its conflict of law provisions. You agree to submit to the personal and exclusive arbitration of any disputes relating to your use of the Site under the rules of the American Arbitration Association on a single plaintiff basis. Any such arbitration will be conducted in Cleveland, Ohio. You agree to submit to the exclusive jurisdiction of arbiters in this forum and agree to waive all claims of personal or subject matter jurisdiction, to the extent permissible. You also acknowledge and understand that, with respect to any dispute arising out of or relating to your use of the Site:

  • YOU AGREE TO ARBITRATION.
  • YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY.
  • YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE; AND YOU MUST FILE ANY CLAIM WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE OR IT IS FOREVER BARRED.

 

Applicable Law and Jurisdiction. The Site is controlled by the Museum from its offices in and around Cleveland, Ohio.  This Terms of Use agreement is governed and controlled by the laws of the State of Ohio (without giving effect to its conflicts of laws provisions).  By accessing and/or using the Site you agree that all matters arising from or relating to the use and operation of the Site will be heard and resolved in a court located in Cleveland, Ohio.  You consent to the personal jurisdiction of such courts, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.  If you choose to access the Site from locations other than Cleveland, Ohio, you will be responsible for compliance with all local laws of such other locations.  A printed version of this agreement with respect to the Site and of any notice given in the electronic form is admissible in judicial and administrative proceedings.
